User Agreement

• "SET Forensics" means SoftEdge Technologies, LLC, doing business as SET Forensics, which provides the Service and is the merchant of record for all charges under this Agreement.
• "Service" means the SET Forensics software and platform, which accepts bank statements and credit card statements uploaded by the User, processes them, and returns summary and transactional data in spreadsheet (Excel) format along with an organized, month-by-month archive of statement files.
• "Documents" means any bank statements, credit card statements, or other files you upload to the Service.
• "AI Provider" means Anthropic, PBC and its Claude application programming interface (API), used by SET Forensics to perform automated data extraction.
• "Output" means the extracted data, summaries, spreadsheets, archives, and any other results generated by the Service from your Documents.
• "Transaction Processed" means each individual line-item transaction identified and extracted from an uploaded Document during processing.
• "Credit" means a unit of prepaid access to the Service, redeemable for the processing of Transactions Processed as described in Section 7. Credits are not money or a monetary equivalent.
• "Download" means any action by which you retrieve, export, or save Output from the Service.

The Service uses artificial intelligence, together with conventional programmatic validation logic, to extract and organize data from your Documents. The Service returns Output in the form of Excel files and an organized month-by-month archive of statement files with standardized naming conventions. The Service is a data-processing and organization tool only. It does not provide accounting, tax, legal, financial, auditing, or forensic-accounting advice, and Output should not be relied upon as such.

3.1 Consent to Processing via the AI Provider. You expressly authorize and instruct SET Forensics to transmit the contents of your uploaded Documents (including bank statements and credit card statements and the financial and personal information they contain) to the AI Provider (Anthropic's Claude API) for the purpose of automated data extraction and generation of Output.

3.2 Acknowledgment of Third-Party Processing. You acknowledge and agree that: (a) your Documents and their contents will leave SET Forensics' immediate environment and will be transmitted to and processed by the AI Provider; (b) such processing is performed by a third party and is subject to that third party's applicable terms and data-handling practices, over which SET Forensics has no control; and (c) SET Forensics does not guarantee any particular level of accuracy, security, retention, or deletion practices by the AI Provider beyond what that provider itself commits to.

3.3 Your Authority to Submit Documents. You represent and warrant that you own the Documents you upload or are otherwise fully authorized to upload them and to authorize their processing as described in this Agreement, and that doing so does not violate any law, contract, or third-party right.

4.1 Sole Responsibility for Verification. Automated extraction (including AI-based extraction) can produce errors, omissions, misclassifications, or inaccuracies. You are solely responsible for reviewing, verifying, and validating all Output before relying on it for any purpose. You agree not to treat Output as accurate, complete, or final without your own independent verification against the source Documents.

4.2 No Reliance for Regulated Decisions. You are solely responsible for any decisions you make based on the Output, including without limitation accounting, tax, financial, legal, lending, or forensic determinations. You should consult qualified professionals as appropriate.

4.3 Acceptable Use. You agree to use the Service only for lawful purposes and only with Documents you are authorized to process.

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SET FORENSICS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. SET FORENSICS DOES NOT WARRANT THAT THE OUTPUT WILL BE ACCURATE, ERROR-FREE, OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

6.1 No Liability for Data Errors. To the maximum extent permitted by applicable law, SET Forensics shall not be liable for any errors, omissions, inaccuracies, misclassifications, or other defects in the Output or in the data processing performed by the Service or the AI Provider. You acknowledge and agree that responsibility for validating the accuracy and completeness of all Output rests solely with you (see Section 4).

6.2 Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall SET Forensics, its owners, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to this Agreement, the Service, or the Output, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

6.3 Cap on Liability. To the maximum extent permitted by applicable law, SET Forensics' total aggregate liability arising out of or relating to this Agreement or the Service shall not exceed the greater of (i) one hundred United States dollars (US $100) and (ii) the total fees actually paid by you to SET Forensics in the twelve (12) months immediately preceding the event giving rise to the claim.

6.4 Legal Limits. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the limitations above apply only to the extent permitted by law, and nothing in this Agreement excludes liability that cannot lawfully be excluded.

7.1 Prepaid Credits. The Service is sold as prepaid Credits. A Credit is a limited, revocable, prepaid right to access the Service. Credits are not money, a monetary equivalent, a stored-value instrument, or a gift certificate, and they may not be transferred, sold, gifted, traded, sublicensed, or assigned, whether for value or otherwise.

7.2 Redemption and Ratio. One Credit entitles you to the processing of one Transaction Processed at the credit-to-Transaction ratio in effect when a conversion begins. The ratio applicable to a conversion is fixed at the time that conversion is submitted, including a conversion held pending sufficient Credits.

7.3 Purchase and Payment Method. Credits are purchased in the Service through its payment processor. You authorize SET Forensics and its payment processor to charge the payment method you provide for the Credits you purchase, and you represent that you are authorized to use that payment method.

7.4 Automatic Top-Up, Optional and Off by Default. Automatic top-up is off unless you enable it. If you enable it, you select one Credit package in advance and you authorize SET Forensics and its payment processor to charge your payment method on file for that package, without a further purchase step, when you submit a conversion that your Credit balance does not cover. Each such charge is for the fixed, prepaid amount of the package you selected, and no such charge occurs unless you submit a conversion. You may disable automatic top-up at any time in your account, which stops all further automatic charges.

7.5 Expiration. Credits expire twelve (12) months after the date of purchase or issuance unless otherwise specified at the time of purchase. Upon suspension or termination of your Account for any reason, any unused Credits are forfeited without refund.

7.6 Complimentary Use. SET Forensics may make a limited amount of processing available at no charge. Complimentary use is not a purchase of Credits, confers no Credit balance, and may be modified or withdrawn at any time.

7.7 Credits Consumed for All Processing. Credits are consumed for every Transaction Processed in a conversion, whether or not the Service's automated balance check confirms the statement it belongs to. A statement that is not confirmed is flagged for your review in the output; it is not withheld or excluded from the charge. If you are dissatisfied with the accuracy of a conversion, you may request a refund review under Section 7.12.

7.8 Consumption and Shortfall. Credits are consumed when a conversion completes, based on the number of Transactions Processed actually extracted. Where that number exceeds the Credits held for the conversion, your Credit balance may become negative, and the shortfall is applied against your next purchase of Credits.

7.9 Changes to Pricing and Ratio. SET Forensics may change Credit pricing, package contents, and the credit-to-Transaction ratio, in each case prospectively only, and will give notice of such changes in the Service. A change to the ratio may change the number of Transactions Processed that a Credit you already hold will process; it does not change the number of Credits in your balance, and it does not affect a conversion already submitted, whose ratio is fixed under Section 7.2. Continued use after the effective date of a change constitutes acceptance of it.

7.10 Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.

7.11 Failed Payments. If a charge is declined or fails, no Credits are issued for that charge. SET Forensics may retry the charge, may charge any updated payment method you provide, and may suspend your access to the Service while a negative Credit balance remains outstanding.

7.12 Refunds. Except where required by applicable law or as provided in this Section, Credit purchases are non-refundable, and no refunds or credits will be provided for unused, partially used, expired, or forfeited Credits. If you are dissatisfied with the data processing accuracy of a conversion, you may email the output of that conversion to SET Forensics at setforensics@softedgetech.com for a refund review. SET Forensics will review the request in good faith and may, in its sole discretion, refund or restore the Credits consumed by that conversion, in whole or in part.

You acknowledge that the Documents contain sensitive financial and personal information. You are responsible for ensuring you have the right to disclose the information in your Documents, and responsible for the data that is downloaded from SET Forensics.

As between you and SET Forensics, you retain all rights in your Documents. You grant SET Forensics a limited license to use, transmit, and process your Documents solely to provide the Service. SET Forensics retains all rights in the Service, its software, and its underlying technology. You retain ownership of the Output as it pertains to your data.

You agree to indemnify and hold harmless SET Forensics and its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your Documents, your violation of this Agreement, or your violation of any law or third-party right.

This Agreement remains in effect while you use the Service. Either party may terminate at any time. Upon termination, any unused Credits are forfeited as provided in Section 7.5, and any negative Credit balance remains due and payable. Sections that by their nature should survive termination (including Sections 4, 5, 6, 7 (as to expiration, forfeiture, refunds, and amounts owed), 9, 10, and 12) will survive.

This Agreement is governed by the laws of Florida, without regard to conflict-of-laws principles.

13.1 Entire Agreement. This Agreement, together with any documents incorporated by reference, is the entire agreement between you and SET Forensics regarding the Service.

13.2 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

13.3 No Waiver. Failure to enforce any provision is not a waiver.

13.4 Amendments. SET Forensics may update this Agreement prospectively and will give notice of an update in the Service. Continued use after the effective date of an update constitutes acceptance of it. Where an update is material, SET Forensics may require you to accept the updated Agreement before you continue to use the Service.

By clicking “I AGREE” or by accessing or using the Service, you confirm that you have read, understood, and agree to be bound by all of the terms of this Agreement in their entirety. This includes, without limitation, your authorization for SET Forensics to process your Documents through the AI Provider, your acknowledgment that you are solely responsible for validating all Output and that SET Forensics is not liable for errors in the data processing; your agreement to the prepaid Credit terms set out in Section 7, including that Credits expire, are non-refundable, and are not money; and, if you enable automatic top-up, your authorization of the charges described in Section 7.4. If you are entering into this Agreement on behalf of an entity, you represent that you have the authority to bind that entity.
